SALES AGREEMENT – LA CALANDRIA KENNEL

PARTIES
On the one hand, as the SELLER:

LA CALANDRIA KENNEL
KM 3 Dondiego Road, Llanogrande, Guayabito District, Municipality of Rionegro, Antioquia, Colombia.

On the other hand, as the BUYER:

Information completed by the BUYER at the bottom of this document.

Both parties acknowledge that they have the legal capacity to enter into this agreement and act in their own name and on their own behalf.

RECITALS
I. The parties agree to formalize this Sales Agreement for the purchase and sale of the following live domestic animal:

Breed: BOSTON TERRIER
Number of Animals: 1
Species: CANINE
Sex, Color, Date of Birth, and Identification of the Animal: Described at the bottom of this form.
II. The Buyer declares that they have been informed of the animal’s condition and are aware of its status at the time of accepting this Agreement.

If, on the date of this Agreement, the animal is only a few days old, the Buyer expresses their intention to purchase the animal and shall reserve it by paying 50% of the purchase price agreed herein, confirming that they have seen at least one photograph of the puppy.

III. It is further acknowledged that the Buyer shall personally and directly examine the animal and may carry out any examinations they deem appropriate to verify the animal’s health condition at the time of delivery.

Based on the foregoing, the parties agree to enter into this Animal Sales Agreement under the following:

TERMS AND CONDITIONS
FIRST
The Seller sells to the Buyer the animal described above for the amount of COP $. Please refer to the price list available on our website according to the characteristics of the individual animal.

SECOND
The Buyer agrees to purchase the above-described animal and to pay the agreed purchase price as follows:

A deposit equal to 50% of the purchase price shall be paid to reserve the animal.
The remaining 50% shall be paid on the day the animal is delivered at the kennel, or two (2) days prior to shipment if the animal is to be transported to another city.
The Buyer acknowledges and agrees that deposits are non-refundable, and no changes or refunds shall be granted if the Buyer withdraws from this Agreement.

THIRD
From the date of this Agreement and upon delivery of the animal, the Buyer assumes full responsibility for any matters arising from the possession or use of the animal, including any legal liabilities, penalties, insurance requirements, or any other documentation required under the laws of the applicable country.

FOURTH
Delivery of the animal shall be deemed completed when the animal is delivered either at:

KM 3 Dondiego Road, Llanogrande, Guayabito District, Municipality of Rionegro, Antioquia, Colombia;

or

The Cargo Area of the Airport in the Destination City.

The delivery date shall be determined solely by the Seller, based on the professional judgment of the Seller’s veterinarian and the estimated weaning date of the animal.

The Buyer shall not be entitled to postpone or extend the delivery date, as no boarding, daycare, maintenance, or care services have been agreed upon. Should the Buyer refuse or fail to receive the animal on the scheduled delivery date, it shall be understood that the Buyer has waived their right to receive the animal and shall not be entitled to any refund of payments or deposits made under this Agreement.

Transportation costs shall be borne by the Buyer.

If any accident or incident occurs during transportation affecting the animal, responsibility shall rest solely with the transportation provider, who shall compensate by replacing the animal or reimbursing its value as established in this Agreement.

If the Buyer personally collects the animal from an agreed location, the sale shall be considered completed at the moment the Buyer takes possession of the animal.

The Buyer shall designate the delivery location, and once the animal has been delivered there in the agreed manner and on the agreed date, the Buyer shall assume full responsibility for anything that may occur thereafter.

FIFTH
The Buyer declares that they are fully aware of the animal’s current condition based on the Veterinary Report, Vaccination Record, and all accompanying documentation delivered with the animal.

The Buyer expressly releases the Seller from any liability for hidden defects or future illnesses or conditions that may arise, except for hidden defects resulting from fraud or bad faith on the part of the Seller.

The Seller shall not be liable for illnesses or health conditions appearing after delivery when such conditions result from improper handling or care, force majeure, theft, negligence, accidents, lack of proper care, or any health issues existing at the time of sale that were known to and accepted by the Buyer.

The Seller provides a replacement guarantee for puppies under one (1) year of age in the event of death caused by any of the following diseases:

Canine Distemper
Infectious Canine Hepatitis
Leptospirosis
Canine Parvovirus
This guarantee shall apply for a period of ten (10) days from the date of delivery, provided that the Buyer submits veterinary diagnostic tests confirming the cause of death.

The Seller also provides a replacement guarantee until the dog reaches one (1) year of age for the following hereditary defects:

Entropion
Congenital deafness
Prognathism (undershot bite)
Hip dysplasia, to the degree established by the applicable breed club.
SIXTH
Any dispute arising between the parties concerning the interpretation or performance of this Agreement shall be submitted to the competent courts, with both parties expressly waiving any other jurisdiction that may otherwise apply.

In witness whereof, the parties accept and execute this Sales Agreement by signing below, whereupon it shall become legally effective.
